1. Acceptance and Scope of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you—whether acting as an individual researcher, developer, or authorized representative of a corporate entity—and San Francisco Labs Inc. ("San Francisco Labs," "we," "us," or "our").
By establishing a connection to our endpoints, querying our models, accessing our research publications, or utilizing any computational resources provisioned by San Francisco Labs (collectively, the "Services"), you unconditionally accept these Terms. If you lack the requisite authority to bind your organization to these Terms, or if you do not agree with any provision herein, you must immediately terminate all access to the Services.
2. Access to Frontier AI Models
San Francisco Labs provides access to highly capable, frontier artificial intelligence models. Due to the inherent complexities and potential capabilities of these systems, access is granted strictly on a discretionary, revocable basis.
- Authentication: You are solely responsible for securing your API keys, cryptographic tokens, and authentication credentials. Any compute cycles or actions executed via your credentials will be irrebuttably attributed to you.
- Rate Limiting and Quotas: To ensure equitable distribution of compute and maintain cluster stability, we impose strict rate limits, concurrency caps, and token quotas. We reserve the right to dynamically adjust these parameters without prior notice to preserve infrastructure integrity.
- Suspension of Access: We retain the absolute right to suspend, throttle, or permanently terminate your access to the Services if we detect anomalous behavior, violations of our usage policies, or actions that threaten our system safety.
3. Acceptable Use and Safety Restrictions
The power of frontier models necessitates stringent operational guardrails. You explicitly agree that you will not deploy our Services, or attempt to bypass our alignment mechanisms, to:
- Generate, synthesize, or distribute code intended to compromise secure networks, systems, or data structures (e.g., malware, zero-day exploits).
- Engage in the automated generation of deceptive content, including large-scale disinformation campaigns, astroturfing, or synthetic media designed to mislead the public.
- Provide actionable instructions for the creation of biological, chemical, radiological, or nuclear (CBRN) hazards.
- Automate high-stakes decision-making processes in protected sectors (e.g., judicial sentencing, automated weapons systems, critical infrastructure management) without human-in-the-loop oversight.
- Attempt to extract, reverse-engineer, distill, or approximate the weights, architecture, or underlying training corpora of our models.
4. Intellectual Property and Output Ownership
Our Intellectual Property: San Francisco Labs retains all unencumbered rights, title, and interest in and to the Services. This includes our proprietary model architectures, trained weights, inference codebases, datasets, branding, and underlying methodologies. Nothing in these Terms grants you a license to our core intellectual property.
Your Inputs and Outputs: As between you and San Francisco Labs, you retain ownership of the prompts, text, or data you submit to the Services ("Inputs"). Subject to your compliance with these Terms, we assign to you all our right, title, and interest in the text or code generated and returned by the models based on your Inputs ("Outputs"). You are solely responsible for ensuring that your Inputs, and your subsequent use of Outputs, do not infringe upon third-party copyrights or violate applicable laws.
5. Cloud Infrastructure Reliance
The operational architecture of San Francisco Labs is built natively upon Amazon Web Services (AWS). Your utilization of the Services involves traversing AWS networks and relying on AWS compute instances.
You acknowledge that the availability, latency, and reliability of our Services are inexorably linked to the performance of AWS infrastructure. San Francisco Labs makes no representations regarding the uninterrupted availability of the Services and specifically disclaims liability for any service degradation, packet loss, or compute interruption stemming from underlying cloud provider outages.
6. Disclaimers regarding Artificial Intelligence
You acknowledge the probabilistic and experimental nature of frontier AI systems. The models provided by San Francisco Labs operate by generating statistically probable sequences of tokens. Consequently:
- Accuracy is Not Guaranteed: Outputs may contain hallucinations, factual inaccuracies, or logically inconsistent reasoning. You must not rely on the Services as a sole source of truth for critical factual, legal, financial, or medical determinations.
- Bias and Edge Cases: Despite extensive alignment efforts, models may produce outputs that reflect statistical biases present in their training corpora.
- "AS IS" Provision: THE SERVICES ARE PROVIDED ENTIRELY ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAN FRANCISCO LABS, ITS FOUNDERS, RESEARCHERS, DIRECTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR MULTIPLE DAMAGES.
THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, CORRUPTION OF SYSTEMS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, INABILITY TO ACCESS, OR RELIANCE UPON THE SERVICES OR OUTPUTS, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Indemnification
You agree to defend, indemnify, and hold harmless San Francisco Labs and its personnel from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or any Outputs generated via your account that infringe upon third-party rights or cause harm.
9. Governing Law, Arbitration, and Jurisdiction
These Terms, and any disputes arising from them, shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any controversy, claim, or dispute arising out of or relating to these Terms or the breach thereof shall be settled by binding, confidential arbitration administered by the American Arbitration Association (AAA) in San Francisco, California. You explicitly waive your right to participate in a class action lawsuit or class-wide arbitration against San Francisco Labs.
